1. Introduction

Welcome to 5D Computer Systems Design ("Company", "we", "our", "us"). These Terms and Conditions govern your use of our website located at 5d.ae and our services.

By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of these terms, you may not access our services.

2. Services

5D provides digital transformation services including but not limited to:

  • Software Development (Web, Mobile, Enterprise)
  • UI/UX Design Services
  • Staff Augmentation (FlexDev)
  • Quality Assurance and Testing
  • Digital Consulting

The specific terms of each engagement will be outlined in a separate Service Agreement or Statement of Work.

3. Intellectual Property

Unless otherwise specified in a written agreement:

  • All intellectual property created during a project belongs to the client upon full payment.
  • 5D retains the right to use generic, non-confidential elements for other projects.
  • 5D may reference completed projects in our portfolio unless client requests confidentiality.

4. Payment Terms

Payment terms are specified in individual project agreements. Generally:

  • A deposit is required before project commencement.
  • Progress payments are due according to agreed milestones.
  • Final payment is due upon project completion and delivery.
  • Late payments may incur additional fees as specified in the agreement.

5. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary information shared during the engagement. This includes but is not limited to:

  • Business plans and strategies
  • Technical specifications and code
  • Customer data and information
  • Financial information

6. Limitation of Liability

To the maximum extent permitted by law, 5D shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

Our total liability for any claims arising from our services shall not exceed the total amount paid by the client for those specific services.

7. Warranty

5D provides a warranty period for delivered work as specified in individual project agreements. During this period, we will address any bugs or defects at no additional cost.

This warranty does not cover:

  • Issues caused by unauthorized modifications
  • Problems resulting from third-party services or integrations
  • Changes requested after project completion

8. Termination

Either party may terminate a project engagement with written notice as specified in the project agreement. Upon termination:

  • Client shall pay for all work completed up to the termination date.
  • 5D shall deliver all completed work and materials.
  • Both parties shall return any confidential materials.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by updating the "Last updated" date. Continued use of our services after such changes constitutes acceptance of the new Terms.
